Terms of Service

⚠️ Beta / Testing Phase

Owldit ERP is currently in active development and closed beta testing. The service is provided "as is" during this period. Features may change, data may be reset, and availability is not guaranteed. By using the beta, you acknowledge these limitations and agree to provide feedback to help improve the product.

1. Agreement

By accessing or using Owldit ERP ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms constitute a legal agreement between you and Owldit Ltd ("Owldit", "we", "us").

2. Description of Service

Owldit is a cloud-based ERP platform for retail and service businesses, offering features such as point of sale, inventory management, customer management, financial tracking, appointment scheduling, and integrations with third-party services. The Service is accessed via web browser.

3. Eligibility

You must be at least 16 years old and have the legal authority to enter into these Terms on behalf of yourself or the business you represent. By creating an account, you confirm that you meet these requirements.

4. Account responsibilities

• You are responsible for maintaining the confidentiality of your login credentials.

• You are responsible for all activity that occurs under your account.

• You must notify us immediately if you suspect unauthorised access to your account.

• We recommend enabling two-factor authentication (2FA) for administrator accounts.

5. Your data

You retain full ownership of all business data you enter into the Service (products, customers, sales, financial records, etc.). We do not claim any intellectual property rights over your data.

We process your data solely to provide and improve the Service, as described in our Privacy Policy. You may export or delete your data at any time.

6. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws.

• Attempt to gain unauthorised access to other users' data or accounts.

• Reverse engineer, decompile, or attempt to extract the source code of the Service.

• Use the Service to store or transmit malicious code, spam, or harmful content.

• Resell, sublicense, or redistribute access to the Service without our written consent.

• Exceed reasonable usage limits or use automated tools to overload the Service.

7. Third-party integrations

The Service may integrate with third-party platforms (Google Calendar, Shopify, marketplace channels, etc.). When you enable an integration, you authorise us to exchange data with that platform as necessary to provide the integration. Each third-party service is governed by its own terms and privacy policy.

Our use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.

8. Beta programme

During the beta period, the following additional terms apply:

• The Service is provided free of charge for testing and evaluation purposes.

• Features may be added, modified, or removed without prior notice.

• Data created during the beta may be reset or migrated as the platform evolves.

• We may limit the number of users, transactions, or storage during the beta.

• Beta testers are encouraged to report bugs, usability issues, and suggestions.

• We will provide reasonable notice before transitioning from beta to a paid service.

9. Service availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify users of planned downtime.

10. Limitation of liability

To the maximum extent permitted by law, Owldit and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.

During the beta period, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Indemnification

You agree to indemnify and hold harmless Owldit from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

• You may close your account at any time by contacting us. Your data will be deleted within 30 days.

• We may suspend or terminate your account if you violate these Terms, with notice where practicable.

• Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive (liability, indemnification, governing law) will remain in effect.

13. Changes to these Terms

We may update these Terms as the Service evolves. Material changes will be communicated via email or in-app notification at least 14 days before taking effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.

14. Governing law

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
